Sandile Siyaka

Sandile is a seasoned Banking and Finance and General Corporate Commercial lawyer, with vast experience that spans over 23 years in legal practice. His experience includes advising on cross border commercial transactions. Sandile acted as a legal advisor for Gensec Bank Limited, a specialized finance unit now known as Sanlam Capital Markets and for Stanbic Africa, a division of Standard Bank Limited responsible for managing the banks Africa operations.

Sandile was also appointed as a Partner at Edward Nathan Sonnenberg Inc in the Banking and Finance Department where he undertook his duties for over 5 years, during which period he spent 3 months as a secondee to the legal department of HSBC Bank Johannesburg Branch, a branch that oversees the banks Africa operations. Part of his focus areas during this time in the banking sector included innovative, tax – efficient, multi – jurisdictional structured solutions for a wide range of transactions across various asset classes such as agricultural commodities, resources, equipment, immovable property and equity.

He is involved in advising on both domestic and cross border transactions including acquisition finance, takeover regulations and empowerment through to debt, preference shares, share swapsand syndication structuring.

Sandile has also advised finance/commercial transaction participants on legal risks, terms, security and hedging arrangements.

In addition to his banking and finance experience, Sandile has also advised on Mergers and Acquisitions transactions focusing on acquisitions and disposals, debt and equity finance, and commercial transactions in countries across the SADC region (including Swaziland, Botswana and Namibia). Over his years as a practicing attorney he served the following takeover regulatory bodies for over 15 years:

  • Securities Regulation Panel (SRP)
  • Takeover Regulation Panel (TRP)
  • Served on various SRP/TRP committees
  • Served as Chairperson of the Takeover Special Committee (an internal appeals tribunal of the TRP
